1. Agreement Overview
These Terms & Conditions ("Agreement") constitute a binding contract between Nexxt Marketing ("Company," "we," "our," or "us") and the Client. By engaging our Services, you acknowledge that you have read, understood, and agreed to be bound by this Agreement.
2. Services Provided
- Nexxt Marketing provides website design, hosting, and digital services as described on our website or in project proposals.
- All project timelines, features, and deliverables are outlined prior to commencement. Typical website build time is 7–10 business days, subject to timely receipt of required content and feedback from the Client.
3. Payment Terms
- All website projects must be paid in full prior to launch unless otherwise agreed in writing.
- Monthly hosting and maintenance fees are due on the billing date each month.
- Failure to pay any invoice within seven (7) days of the due date may result in immediate suspension of hosting and/or termination of Services.
- Websites will be disabled or taken offline if hosting payments are not current.
- Reactivation of a suspended site may incur a reinstatement fee.
4. Revisions and Edits
- Non-managed website plans include two (2) rounds of revisions after initial delivery.
- Additional revisions, content changes, or design modifications beyond the included rounds may be billed at the Company's standard hourly rate.
- Fully managed clients may receive ongoing edits per their plan.
5. Termination and Suspension
Nexxt Marketing reserves the right, at its sole discretion, to suspend or terminate any Client account, website, or project under the following conditions:
- Non-payment or late payment of fees
- Violation of this Agreement
- Hosting of illegal, harmful, or prohibited content
- Abusive or unprofessional conduct toward Company staff
Upon termination, all access to the Client's website and related hosting services may be revoked without further notice.
6. Ownership and Intellectual Property
- Nexxt Marketing retains ownership of all design assets, code, and content until the project is paid in full.
- Upon full payment, ownership of website files (excluding proprietary CRM or platform elements) transfers to the Client.
- Nexxt Marketing may display completed projects in its portfolio and marketing materials.
7. Hosting & Maintenance
- Hosting and maintenance are recurring monthly services.
- Cancellation requests must be submitted in writing at least 7 days before the next billing cycle.
- Failure to maintain an active hosting plan will result in website deactivation and data removal after 30 days.
8. Client Responsibilities
The Client agrees to:
- Provide all required content, images, and information in a timely manner
- Review and approve deliverables promptly
- Ensure all materials provided do not infringe on third-party rights or contain prohibited content
9. Limitation of Liability
- Nexxt Marketing shall not be liable for any indirect, incidental, or consequential damages arising from use or inability to use the website or Services.
- Our total liability under any claim shall not exceed the amount paid by the Client for the Services in question.
10. No Guarantee of Results
While Nexxt Marketing implements SEO and optimization best practices, we make no guarantee of specific search rankings, traffic levels, or business results.
11. Modifications
We reserve the right to modify these Terms & Conditions at any time. Updated terms will be posted on our website and take effect immediately upon posting.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of laws principles.
